Terms of Service

1. Acceptance of terms

These Terms of Service govern access to and use of MerchVitals, a Shopify application operated by AMERICAN SOUTHERN IDEATC LLC. By installing, authorizing, or using MerchVitals, you agree to these terms on behalf of yourself and the merchant business you represent.

2. Beta service and commercial model

MerchVitals is currently provided free during beta. No subscription fee is charged by the application during this beta period.

Features, limits, availability, and the commercial model may change in the future. Any future paid offering will be introduced separately and will require appropriate notice and any authorization required by Shopify.

3. The service

MerchVitals uses read-only Shopify product access to generate product readiness checks, warnings, and recommendations. The application does not automatically edit products or other merchant store data.

Audit results are informational tools intended to support merchant review. They do not guarantee sales, search placement, advertising performance, platform approval, legal compliance, or any particular commercial outcome.

4. Merchant responsibilities

You are responsible for maintaining your Shopify account, protecting administrator credentials, confirming that you have authority to install the application, and reviewing any recommendation before making changes to your store.

You remain responsible for product accuracy, claims, intellectual property rights, pricing, inventory, tax obligations, consumer disclosures, and compliance with applicable laws and Shopify policies.

5. Acceptable use

You may not use MerchVitals to violate law, infringe third-party rights, interfere with application security, attempt unauthorized access, introduce malicious code, overwhelm the service, reverse engineer restricted components, or use the service in a manner prohibited by Shopify.

6. Intellectual property

MerchVitals, its interface, audit methodology, software, branding, and related materials are owned by or licensed to AMERICAN SOUTHERN IDEATC LLC. These terms do not transfer ownership of the application or its intellectual property.

You retain ownership of merchant content and Shopify product information. You grant only the limited rights needed to process that information and provide the requested application functions.

7. Feedback

Feedback and feature suggestions may be used to improve MerchVitals without restriction or compensation, provided that we do not publicly identify confidential merchant information without permission.

8. Availability and changes

The beta may be updated, interrupted, limited, or discontinued. We may modify features to improve security, reliability, Shopify compatibility, or product direction.

We will make reasonable efforts to maintain the service, but no uninterrupted-availability commitment or service-level agreement is provided during beta.

9. Suspension and termination

Access may be suspended or terminated where reasonably necessary to address security risk, unlawful use, platform requirements, material breach of these terms, or discontinuation of the service. Merchants may stop using the application by uninstalling it through Shopify.

10. Disclaimers

To the maximum extent permitted by law, MerchVitals is provided on an “as is” and “as available” basis without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free results.

MerchVitals does not provide legal, tax, accounting, financial, advertising, or regulatory advice.

11. Limitation of liability

To the maximum extent permitted by law, AMERICAN SOUTHERN IDEATC LLC and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, or decisions made from an audit result.

Nothing in these terms excludes liability that cannot legally be excluded or limited.

12. Governing law

These terms are governed by the laws of the United States and the State of Texas, without regard to conflict-of-law principles. Any dispute will be subject to the courts having lawful jurisdiction in the State of Texas, unless applicable law requires otherwise.

13. Changes to these terms

These terms may be updated as the beta develops or legal and Shopify requirements change. Continued use after updated terms become effective constitutes acceptance where permitted by law.
